1. In consideration of CARIBBEAN BUSINESS BROKERS, providing professional services to attempt the sale of the below mentioned business, I ________________________________________________

or have the express authorization to enter all contracts on behalf of the true owner to affect the sale of said business.
2. The Owner hereby employs CARIBBEAN BUSINESS BROKERS on a Non-Exclusive basis to sell the above business, lease or real estate, including all fixtures, fittings, goodwill, trademarks, trade names and stock inventory. This agreement shall start on the date below and continue for twelve (12) months.
3. The Owner hereby agrees to pay CARIBBEAN BUSINESS BROKERS ___ percent (__%) in full of the total purchase price at close of sale.
4. The information supplied to CARIBBEAN BUSINESS BROKERS is warranted to be true. Solely the Owner has arrived at the price. The information may be provided to potential buyers.
5. CARIBBEAN BUSINESS BROKERS will make the best effort to sell the business but makes no guarantee that the business will sell.
6. The Owner hereby agrees to verify any and all qualifications of the buyer, including buyer's health, experience, competency, residency and financial status. CARIBBEAN BUSINESS BROKERS will not be held responsible for buyer's misrepresentation of their qualifications.
7. The Owner hereby agrees to CARIBBEAN BUSINESS BROKERS being included in all sales documentation as the registered Sales Agent or Business Broker responsible for the sale.
8. Deposits and funds received from the buyer will be placed in escrow with Richards Anjo and Associates, Attorneys-at-Law, St. John's, Antigua or an attorney appointed by CARIBBEAN BUSINESS BROKERS. Funds placed in escrow by the buyer will include the agreed commission of CARIBBEAN BUSINESS BROKERS.
9. Sales documents will be drawn up by Richards Anjo and Associates, Attorneys-at-Law, St. John's, Antigua or an attorney appointed by CARIBBEAN BUSINESS BROKERS. The buyer will pay the fees related to the drawing up of the sales documentation.
10. The Attorney representing the seller and the Attorney representing the buyer will review sales documentation. Review fees will be subject to payment by seller and buyer respectively.
11. The Owner hereby agrees to pay CARIBBEAN BUSINESS BROKERS the full commission fee in the event of the following:
a. CARIBBEAN BUSINESS BROKERS procures a purchaser, ready, willing and able to purchase the Business at the Proposed Full Purchase Price or any price accepted by the buyer.
b. The Owner sells, leases, trades or otherwise disposes of all or part of the Business within ONE (1) YEAR from the termination date of this Non-Exclusive Period to any person, firm or entity referred to the business by CARIBBEAN BUSINESS BROKERS or who becomes aware of the Business through the effort of CARIBBEAN BUSINESS BROKERS during the Non-Exclusive Period.
This Agreement contains the entire understanding between parties. Any changes or modifications must be in writing and signed by the parties
THIS IS A LEGALLY BINDING CONTRACT. PLEASE READ IT CAREFULLY BEFORE SIGNING
I, The Owner, have read and understood, and hereby agree to the above terms and provisions of the Agreement. I represent and warrant that the undersigned constitute all of the Owners/Partners/Shareholders of the Business listed herein and hereby personally guarantee performance of this Agreement.
